Terms of Service

1. The service

COVERvision is an AI-powered application that enables users to visualise fabrics on furniture using uploaded photographs. The service includes fabric library management, preview saving, PDF generation, and related tools. We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

2. Eligibility and accounts

• You must be at least 18 years old to create an account and use COVERvision
• You must provide accurate and complete information when creating your account
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately at support@covervision.co.nz if you suspect unauthorised access to your account
• One account per person — you may not create multiple accounts to circumvent trial limits

3. Subscriptions and billing

3.1 Trial access

New accounts receive limited free trial access. Trial limits apply to previews, saves, and downloads as specified in the app. Trial usage is per account and cannot be transferred.

3.2 Paid subscriptions

• Subscriptions are billed monthly or annually as selected at the time of purchase
• All prices are in New Zealand dollars (NZD) and include GST
• Payments are processed by Stripe. By subscribing you agree to Stripe's terms of service
• Subscriptions automatically renew at the end of each billing period unless cancelled
• We will provide at least 30 days notice of any price changes

3.3 Cancellation

• You may cancel your subscription at any time via your billing portal
• Cancellation takes effect at the end of your current billing period — you retain access until then
• We do not offer partial-period refunds except where required by the Consumer Guarantees Act 1993

3.4 Refunds

We offer refunds in the following circumstances:

• Where required under the Consumer Guarantees Act 1993 or Fair Trading Act 1986
• Where there has been a billing error on our part
• At our discretion, for genuine technical failures that prevented reasonable use of the service

To request a refund, contact support@covervision.co.nz within 14 days of the charge.

3.5 Access codes

Access codes may be issued by upholstery businesses to their clients at the issuing business's discretion. Access codes are non-transferable, may have expiry dates, and grant access for the duration specified by the issuing business. We are not responsible for access codes issued by third-party businesses.

4. Acceptable use

You agree not to use COVERvision to:

• Upload images you do not have the right to use
• Generate content that is illegal, offensive, defamatory, or infringes third-party rights
• Attempt to reverse engineer, scrape, or extract data from the service
• Circumvent usage limits, access controls, or billing systems
• Use the service in a way that could damage, disable, or impair the platform
• Share access credentials with others or allow multiple users to share one account
• Resell or sublicense access to the service without our written permission
• Use the service for any unlawful purpose or in violation of any applicable laws

We reserve the right to suspend or terminate accounts that violate these terms without refund.

5. Intellectual property and ownership

5.1 Your content

You retain full ownership of all images and content you upload to COVERvision. By uploading content, you grant us a limited, non-exclusive licence to process and display that content solely for the purpose of providing the service to you. We do not claim ownership of your uploaded images or generated previews.

5.2 Generated previews

AI-generated previews created using your inputs are yours to use. We make no claim of ownership over generated outputs. You may use, share, download, and print generated previews for personal or commercial purposes consistent with these Terms.

5.3 Our intellectual property

All rights in the COVERvision platform, brand, software, design, and content (excluding your uploaded content and generated outputs) remain with us. You may not copy, reproduce, or create derivative works from our platform without written permission.

5.4 Third-party content

When you upload fabric images sourced from supplier websites, you are responsible for ensuring you have the right to use those images. We are not responsible for any intellectual property claims arising from your use of third-party images.

6. AI-generated content disclaimer

COVERvision uses artificial intelligence to generate preview images. You acknowledge and agree that:

• Generated previews are AI-generated and intended as a visual guide only
• Results may not accurately represent the final appearance of physical upholstery work
• Colour, texture, scale, and pattern accuracy may vary depending on image quality, fabric type, and AI processing
• Previews should not be relied upon as the sole basis for purchasing decisions — we always recommend obtaining physical fabric samples
• We do not guarantee the accuracy, completeness, or fitness for purpose of any generated output

7. Limitation of liability

To the maximum extent permitted by New Zealand law:

• COVERvision is provided "as is" without warranties of any kind, express or implied
• We do not warrant that the service will be uninterrupted, error-free, or free of harmful components
• We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the service
• We are not liable for any decisions made based on AI-generated previews
• Our total liability to you for any claim arising from these Terms or your use of the service is limited to the amount you paid us in the 3 months preceding the claim

Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded under the Consumer Guarantees Act 1993 or Fair Trading Act 1986.

8. Business accounts and client codes

If you issue access codes to your clients, at your discretion:

• You are responsible for the appropriate use of codes you issue
• You must not issue codes to users who have not engaged your services
• Codes must not be sold or transferred
• We reserve the right to deactivate codes that are being misused
• Clients who access the service via your codes are also bound by these Terms

9. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which forms part of these Terms.

10. Termination

We may suspend or terminate your account if you breach these Terms, if your subscription payment fails, or if we reasonably believe your use is harmful to the service or other users. We will provide notice where reasonably practicable. On termination you must cease using the service. Your data will be handled in accordance with our Privacy Policy.

11. Governing law and disputes

These Terms are governed by the laws of New Zealand. Any dispute arising from these Terms or your use of COVERvision will be subject to the exclusive jurisdiction of the New Zealand courts. We encourage you to contact us first at support@covervision.co.nz — most issues can be resolved quickly and informally.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use of COVERvision after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before they take effect.
